These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by foldout ("foldout," "we," "us," or "our") (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. The Service

The Service allows you to create, edit, import, and publish documents, with the assistance of artificial intelligence features. The Service is currently offered in a beta phase and may change, be interrupted, or be discontinued at any time without notice.

2. Accounts

You must provide accurate and complete information when creating an account. You are responsible for safeguarding your account and for all activities that occur under it. You must notify us promptly of any unauthorized use of your account. You must be at least 13 years of age to use the Service.

3. User Content

You retain all ownership rights in the content you create, upload, paste, or import into the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, and transmit your User Content solely as necessary to provide and improve the Service, including processing by third-party artificial intelligence providers to deliver features you request.

You represent and warrant that you have all rights necessary to submit your User Content and that it does not violate any law or infringe the rights of any third party.

4. Published Content

The Service allows you to publish pages to a publicly accessible URL. You are solely responsible for content you choose to publish. We reserve the right to remove published content that violates these Terms or applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe the intellectual property or other rights of any third party;
• Upload, publish, or distribute content that is unlawful, defamatory, harassing, or fraudulent;

6. Artificial Intelligence Features

The Service uses artificial intelligence to generate and modify content. AI-generated output may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before relying on it or publishing it. We make no representations or warranties regarding the accuracy of AI-generated output.

7. Third-Party Services

The Service integrates with third-party services, including authentication, hosting, storage, and artificial intelligence providers. Your use of such services may be subject to their own terms and policies. We are not responsible for third-party services.

8. Intellectual Property

The Service, including its design, software, and all content provided by us (excluding User Content), is owned by foldout and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service and request deletion of your account at any time. Upon termination, provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FOLDOUT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless foldout and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the date above. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
